These Terms of Service govern access to the BridgeFlow website and the general terms under which BridgeFlow may provide AI implementation and related services.
BridgeFlow is currently in the pre-registration stage. The final legal entity and jurisdiction details will be inserted after formal incorporation.
- Legal entity: [Legal Entity Name]
- Registered address: [Registered Address]
- Company registration number: [Company Registration Number]
- Governing law: [Governing Law]
- Jurisdiction: [Jurisdiction]
- Dispute resolution venue: [Dispute Resolution Venue]
Terminology
- BridgeFlow means the business operating under the BridgeFlow name until the formal legal entity is identified.
- Client means a person or business that requests or receives BridgeFlow Services.
- Services means BridgeFlow's AI implementation, productized AI, custom development, workflow automation, and related implementation services.
- AI Services means Services that use AI models, AI agents, voice AI, or AI-assisted workflows.
- Deliverables means client-specific outputs expressly identified in applicable project documentation.
- Third-Party Providers means external providers used by BridgeFlow or a Client for hosting, booking, payment, automation, AI, CRM, communication, storage, or other project functions.
1. Scope of services
BridgeFlow designs, builds, integrates, deploys, and optimizes practical AI business systems. Services may include:
- AI automation and workflow automation.
- AI agents and voice AI.
- CRM, calendar, messaging, and business-system integrations.
- AI implementation planning and advisory work connected to an implementation.
- Custom AI development.
- Productized AI solutions with defined scope and deliverables.
- CompanyOS or other larger custom implementations.
BridgeFlow is an AI implementation company. It does not sell a general-purpose software subscription through these Terms.
The exact Services, Deliverables, assumptions, dependencies, timeline, support, price, and acceptance criteria for a project must be set out in the applicable proposal, quote, master service agreement (MSA), statement of work (SOW), service agreement, or written confirmation, if used for the engagement.
2. Website use
You may use the website for lawful informational and business purposes. You must not:
- Use the website in violation of applicable law.
- Interfere with its operation or security.
- Attempt unauthorized access to systems, accounts, or data.
- Scrape, copy, republish, or exploit website content except as permitted by law or with written permission.
- Upload malicious code or content.
- Misrepresent your identity or authority to act for a business.
Website content is general information. It is not legal, financial, medical, tax, or other professional advice.
3. Quotes, proposals, and project formation
Website starting prices are indicative starting points for productized Services. They are not an offer to provide a particular result or scope at a fixed price.
A project begins only when the parties approve written project documentation and any required payment or deposit. A proposal, quote, MSA, SOW, or other project document, if used, may identify:
- The recommended solution.
- Scope and Deliverables.
- Client responsibilities and dependencies.
- Timeline or milestones.
- Price and payment schedule.
- Support or optimization terms.
- Any project-specific data, security, or acceptance requirements.
If a signed or otherwise approved project document conflicts with these general Terms, the project document controls for that project to the extent of the conflict.
4. Payments and pricing
BridgeFlow uses defined-scope and outcome-focused pricing rather than hourly billing. Productized Services have transparent starting prices, but customizations, additional integrations, extra agents, advanced dashboards, multi-language support, custom API development, ongoing optimization, managed support, and training may be quoted separately.
Projects typically use milestone-based payments, which may include project confirmation, development start, testing and review, and final delivery. A larger or international project may use a different written payment schedule.
Available payment methods may include credit or debit card, Paddle, bank transfer, eSewa, Khalti, and Fonepay, depending on client location and the payment arrangement.
You are responsible for providing accurate billing information and paying approved amounts when due. Taxes, bank fees, currency-conversion costs, and payment-provider charges will be handled as stated in the applicable project documentation or required by law.
5. Client responsibilities
The Client must:
- Provide accurate requirements, content, access, credentials, decisions, and approvals needed for the project.
- Ensure it has the right to provide data, content, and instructions to BridgeFlow.
- Review and test Deliverables within the agreed review period, if one is specified.
- Make business, legal, financial, medical, and operational decisions using appropriate human judgment.
- Maintain Client-owned accounts and infrastructure after ownership or access is transferred.
- Use delivered systems lawfully and in accordance with Third-Party Provider terms.
Delays caused by missing access, information, approvals, or third-party systems may affect timelines and milestones.
6. Support and changes
Launch support, ongoing optimization, managed support, response times, maintenance, and training are included only when stated in the applicable written project documentation.
Requests outside the agreed scope may require a separate quote or written change approval. BridgeFlow will discuss material additional work before implementation rather than adding hidden fees.
7. Warranty and disclaimers
BridgeFlow will perform agreed Services with reasonable care and skill consistent with the written project scope.
Unless a written project document expressly states otherwise:
- The website and general information are provided on an “as available” basis.
- BridgeFlow does not guarantee uninterrupted website availability.
- BridgeFlow does not guarantee a particular revenue, conversion, ranking, cost-saving, accuracy, or business outcome.
- AI outputs may be inaccurate, incomplete, or unexpected.
- AI performance may change because of third-party models, provider changes, data changes, integrations, or client configuration.
- Third-Party Provider Services are controlled by their providers and may experience outages, limits, changes, or discontinuation.
- Human review is recommended for business-critical decisions.
BridgeFlow is not responsible for business decisions made solely from AI-generated outputs.
The AI Usage and Responsible AI Policy provides additional guidance on AI Services, human review, and client responsibilities.
8. Intellectual property
Subject to payment of approved project amounts and any project-specific terms:
- The Client owns final Deliverables created specifically for the Client, Client data, Client accounts, and Client-specific assets.
- BridgeFlow retains ownership of its internal frameworks, reusable libraries, templates, methodologies, automation frameworks, internal tools, general-purpose prompts, general-purpose orchestration systems, know-how, and improvements that are not client-specific.
- Third-Party Provider software, models, libraries, content, and Services remain subject to their own terms.
BridgeFlow may use general skills, know-how, and reusable components developed during an engagement, provided it does not disclose the Client's confidential information or reuse Client-specific assets without permission.
BridgeFlow only publishes client work, names, results, or case studies with written permission.
9. Acceptable use of delivered systems
The Client must not use a BridgeFlow-delivered system to:
- Break the law or infringe another person's rights.
- Send unlawful, deceptive, abusive, or unsolicited communications.
- Process data without an appropriate legal basis or required notice.
- Make high-impact decisions without required human review.
- Circumvent provider restrictions, security controls, or usage limits.
- Create or distribute malware, fraud, impersonation, or harmful content.
BridgeFlow may suspend work or access when reasonably necessary to protect people, systems, data, or Third-Party Provider Services.
10. Limitation of liability
To the maximum extent permitted by applicable law, BridgeFlow will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, opportunities, goodwill, data, or anticipated savings.
BridgeFlow will not be responsible for failures caused by Client instructions, missing information, Client systems, Third-Party Providers, internet or telecommunications failures, changes in law, or events outside BridgeFlow's reasonable control.
Any project-specific liability cap, exclusions, indemnities, or remedies must be stated in the applicable signed MSA, SOW, service agreement, or other written project document, if used. Nothing in these Terms excludes liability that cannot lawfully be excluded.
11. Confidentiality
The parties should use a separate written confidentiality or non-disclosure agreement when the project requires one. These website Terms do not create a detailed mutual confidentiality regime.
Each party should avoid sharing unnecessary sensitive information through the website or general communications.
12. Suspension and termination
BridgeFlow may suspend website access, project work, or a delivered integration where reasonably necessary because of non-payment, unlawful use, security risk, Third-Party Provider restrictions, or material breach.
Project cancellation, termination rights, refunds, transition assistance, and post-termination obligations should be specified in the applicable written project documentation. Termination does not remove obligations that by their nature should continue, including payment obligations accrued before termination, intellectual-property ownership, confidentiality terms in a separate agreement, and lawful data-handling requirements.
13. Governing law and disputes
The governing law and dispute venue are intentionally reserved until BridgeFlow is formally incorporated:
- Governing law: [Governing Law]
- Jurisdiction: [Jurisdiction]
- Dispute resolution venue: [Dispute Resolution Venue]
The parties should first try in good faith to resolve a dispute through direct discussion before starting formal proceedings, unless urgent legal relief is required.
14. Changes to these Terms
BridgeFlow may update these website Terms when its Services, business structure, or legal requirements change. The version applicable to a project will be the version incorporated into or referenced by the applicable project documentation.
